出口合同簽訂篇一
代理方：（以下簡(jiǎn)稱乙方）
依照國(guó)家有關(guān)法律法規(guī)，簽約雙方就委托代理出口業(yè)務(wù)有關(guān)事項(xiàng)協(xié)商一致，訂立本合同：
一. 委托代理出口商品名稱：
出口口岸：深圳;總金額：萬(wàn)美元，在20xx 年年底前履行完畢。
具體型號(hào)、規(guī)格、數(shù)量、金額在每批出口前另行確認(rèn)。
二. 雙方權(quán)利義務(wù)：
(一). 代理方：
1. 代理委托方辦理有關(guān)貨物出口報(bào)關(guān)、報(bào)檢、托運(yùn)手續(xù)及結(jié)匯、退稅事宜,但因出口合同及其附件的瑕疵所產(chǎn)生的一切責(zé)任由委托方自行承擔(dān)。
2. 因委托方原因致使出口合同不能履行、不能完全履行或遲延履行的，代理方有權(quán)解除本代理合同，委托方應(yīng)承擔(dān)由此產(chǎn)生的一切費(fèi)用和后果。
3. 因外商原因致使合同不能履行、不能完全履行或延遲履行，代理方應(yīng)及時(shí)通知委托方采取補(bǔ)救措施。如委托方在訴訟時(shí)效內(nèi)書(shū)面要求對(duì)外索賠的，代理方應(yīng)根據(jù)其出口合同，積極協(xié)助委托方對(duì)外索賠，委托方承擔(dān)由此產(chǎn)生的一切費(fèi)用和后果。并應(yīng)在索賠前，依據(jù)代理方書(shū)面通知將預(yù)付費(fèi)用劃至代理方帳戶。若委托方未支付有關(guān)索賠費(fèi)用，而由代理方先行支付的，則委托方喪失享有索賠產(chǎn)生的權(quán)利，但不免除因索賠而產(chǎn)生的義務(wù)。上述義務(wù)包括但不限于承擔(dān)代理方先行代墊的律師費(fèi)、訴訟費(fèi)、仲裁費(fèi)、差旅費(fèi)、通訊費(fèi)等。反之，如外商索賠，由代理方應(yīng)訴/應(yīng)裁，但委托方應(yīng)無(wú)條件協(xié)助并承擔(dān)應(yīng)訴/應(yīng)裁的一切費(fèi)用和后果。
(二). 委托方：
1. 應(yīng)提供以下有效證件復(fù)印件：
① 企業(yè)法人營(yíng)業(yè)執(zhí)照(含非法人營(yíng)業(yè)執(zhí)照);
② 組織機(jī)構(gòu)代碼證;
③ 稅務(wù)登記證(國(guó)稅);
④ 增值稅一般納稅人資格證書(shū)或申請(qǐng)認(rèn)定表(正在申請(qǐng)一般納稅人的企業(yè));
⑤ 如是外商投資企業(yè)或中外合資企業(yè)，還需要提供：港澳臺(tái)僑企業(yè)批準(zhǔn)證書(shū)。
2. 保證所委托出口的貨物符合出、進(jìn)口國(guó)的國(guó)家政策法律規(guī)定，并保證委托出口的貨物不侵犯他人知識(shí)產(chǎn)權(quán)。
3. 負(fù)責(zé)組織出口貨源，并根據(jù)出口合同的規(guī)定按時(shí)將委托出口貨物運(yùn)至出運(yùn)口岸及承擔(dān)運(yùn)費(fèi)，并保證所委托的實(shí)際貨物與報(bào)關(guān)品名、規(guī)格、數(shù)量、質(zhì)量、包裝等相符。若委托方違反本條規(guī)定，則應(yīng)承擔(dān)由此產(chǎn)生的對(duì)外及對(duì)代理方的賠償責(zé)任。
4. 協(xié)助代理方辦理報(bào)關(guān)、報(bào)檢、制單、結(jié)匯等具體業(yè)務(wù)，保證從代理方處取得的所有單證的安全，不得挪作它用。
5. 代理方原則上不接受拼柜貨物。若確有必要，委托方應(yīng)于貨物報(bào)關(guān)出口前一周書(shū)面通知代理方，由代理方?jīng)Q定是否接受。
6. 委托方應(yīng)如實(shí)申報(bào)，不得虛報(bào)數(shù)量，高報(bào)價(jià)值。
7. 如委托方指定貨代以及需異地報(bào)關(guān)出口的貨物，委托方應(yīng)通知代理方其貨代名稱、地址、聯(lián)系人、電話、傳真等詳細(xì)資料，并允許代理方與貨代直接聯(lián)系，在貨物正式報(bào)關(guān)出口前，由貨代將裝箱單、發(fā)票傳真給代理方確認(rèn)。
8. 保證增值稅發(fā)票和專用繳款書(shū)真實(shí)、有效、合法。
9. 未經(jīng)代理方同意，委托方不得擅自更改確認(rèn)后的合同條款，不得對(duì)外商作出合同之外的承諾。
10.承擔(dān)因委托方原因致使本合同及與外商簽訂之合同不能履行的一切責(zé)任。
11.對(duì)外商資信負(fù)責(zé)，承擔(dān)因外商原因致使與外商簽訂之合同不能履行或與外商簽訂之合同已部份履行但無(wú)法收匯核銷的責(zé)任。前述外商違約導(dǎo)致本合同不能履行或不能完全履行，不影響本協(xié)議項(xiàng)下代理方收取代理費(fèi)的權(quán)利。
12.保證在報(bào)關(guān)日后30日內(nèi)將報(bào)關(guān)單、核銷單等退稅單據(jù)交還代理方，并保證報(bào)關(guān)單、核銷單的所有內(nèi)容與相應(yīng)的增值稅發(fā)票和專用繳款書(shū)內(nèi)容一致。
13.因委托方的原因，導(dǎo)致增值稅發(fā)票和專用繳款書(shū)未能退稅時(shí)，代理方有權(quán)向委托方追索該部份退稅款。委托方應(yīng)在收到代理方書(shū)面通知后3個(gè)工作日內(nèi)將該部份退稅款，付到代理方指定的銀行帳戶上。
三. 費(fèi)用與代理手續(xù)費(fèi)結(jié)算：
1. 代理出口過(guò)程中所發(fā)生的一切費(fèi)用,除退稅外均由委托方承擔(dān)，如因需要由代理方代為繳納的，委托方應(yīng)在每筆費(fèi)用實(shí)際發(fā)生前轉(zhuǎn)入代理方帳戶，代理方也可直接在貨款中扣除。本合同項(xiàng)下的出口費(fèi)用包括：保險(xiǎn)費(fèi)、港口碼頭費(fèi)、裝運(yùn)港市內(nèi)短途運(yùn)雜費(fèi)、倉(cāng)儲(chǔ)費(fèi)、出口檢驗(yàn)費(fèi)、檢疫費(fèi)、報(bào)關(guān)費(fèi)、國(guó)內(nèi)銀行費(fèi)用等。
2.a.代理方負(fù)責(zé)接收國(guó)外客戶t/t貨款，該貨款應(yīng)于60天內(nèi)匯到代理方指定的銀行帳戶)。在代理方收到委托方國(guó)外貨款，先按1美元：8.26人民幣元將貨款匯入同增值稅發(fā)票上相符的銀行帳戶，在核銷單、報(bào)關(guān)單退回后，并收到委托方提供的增值稅專用發(fā)票、稅收繳款書(shū)后 3個(gè)工作日內(nèi)將外匯貨款按1美元：9.14人民幣元的比率，扣除已按1美元：8.26人民幣元支付的貨款，將剩余貨款按委托方的通知匯入同增值稅發(fā)票上相符的銀行帳戶，其余部分(包括不低于 13%的退稅款額)作為代理方的代理費(fèi)用。
3.如出口合同外商付款期至?xí)r，代理方未實(shí)際全部收匯，代理方對(duì)委托方就該筆貨款保留追索權(quán)。如代理方在委托方開(kāi)具增值稅發(fā)票和繳款書(shū)二個(gè)月后在國(guó)稅局依然查無(wú)增值稅發(fā)票和繳款書(shū)的相關(guān)信息，委托方有責(zé)任協(xié)助代理方向當(dāng)?shù)貒?guó)稅局查詢。
四. 違約責(zé)任:
1. 在本合同項(xiàng)下，如一方違約，除依法依約應(yīng)承擔(dān)違約責(zé)任及賠償責(zé)任及賠償守約方的實(shí)際損失外，還應(yīng)承擔(dān)守約方為實(shí)現(xiàn)債權(quán)而支付的費(fèi)用，該費(fèi)用包括但不限于律師費(fèi)用、訴訟費(fèi)用、差旅費(fèi)、通訊費(fèi)。
2. 自違約方違反本合同約定及法定義務(wù)之日起,其于后支付的任何款項(xiàng)按以下順序清償：(1)守約方為實(shí)現(xiàn)權(quán)利支付的費(fèi)用;(2)利息或違約金、損失賠償金;(3)貨款本金。
五.爭(zhēng)議解決方式：
1.本合同適用《中華人民共和國(guó)合同法》及我國(guó)對(duì)外貿(mào)易代理的有關(guān)規(guī)定。
2.委托代理過(guò)程中發(fā)生糾紛，由雙方協(xié)商解決，協(xié)商未果的，由合同簽訂地法院裁決。
六.其他：
1.上述結(jié)算價(jià)雙方將根據(jù)20xx年度實(shí)際退稅時(shí)間及市場(chǎng)行情協(xié)商調(diào)整。
2.委托方或委托方指定的工廠若需要代理方提供“產(chǎn)品購(gòu)銷(買賣)合同”，該合同僅限于開(kāi)具增值稅發(fā)票用，其內(nèi)容若與本協(xié)議有矛盾，以本協(xié)議為準(zhǔn)。
3.如中國(guó)人民銀行美元和人民幣的匯率發(fā)生變動(dòng)，高于或低于1:8.26(不含本數(shù))時(shí),則代理方與委托方另行協(xié)商該代理合同中第三條第2點(diǎn)中結(jié)算比例,以保證代理方不發(fā)生代理業(yè)務(wù)虧損。
5.如國(guó)稅局對(duì)該產(chǎn)品出口退稅比例進(jìn)行調(diào)整,高于或低于13%(不含本數(shù))，則代理方與委托方另行協(xié)商該代理出口合同中第三條第2點(diǎn)的結(jié)算比例,以保證代理方不發(fā)生代理業(yè)務(wù)虧損.
七.本合同一式兩份，雙方各執(zhí)一份，經(jīng)雙方簽章后生效。如有未盡事宜須補(bǔ)充或修改的應(yīng)以書(shū)面提出并經(jīng)雙方簽章后生效，并與本代理出口合同具有同等的法律效力。

托人有限公司，委托代理人 有限公司代理出口 產(chǎn)品，現(xiàn)達(dá)成以下條款:，以資雙方共同遵守：
1.委托人義務(wù)
1.1 如實(shí)提供與訂立協(xié)議有關(guān)的主要事實(shí)和情況;
1.2 對(duì)本協(xié)議以及代理人根據(jù)本協(xié)議與國(guó)外買方簽訂的外銷合同的條款進(jìn)行充分的了解, 對(duì)各方的權(quán)利義務(wù), 各方免除或者限制各自責(zé)任的條款有充分的注意。
2.代理人義務(wù):
2.1 如實(shí)提供與訂立協(xié)議有關(guān)的主要事實(shí)和情況;

4.出口貨物

5.費(fèi)用
(1)委托人承擔(dān)代理人因代理出口產(chǎn)生的運(yùn)輸費(fèi)、商檢費(fèi)、港口運(yùn)雜費(fèi)、倉(cāng)儲(chǔ)費(fèi)、報(bào)關(guān)費(fèi)、保險(xiǎn)費(fèi)及銀行手續(xù)費(fèi)等有關(guān)費(fèi)用。
(2)根據(jù)實(shí)際出口貨物的數(shù)量計(jì)算總貨款，并根據(jù)此總貨款向代理人支付___%的代理費(fèi)。

6.違約責(zé)任:

第十三條人力不可抗拒因素：由于人力不可抗拒事故，是甲方不能在本合同規(guī)定期限內(nèi)交貨或者不能交貨的，甲方不負(fù)責(zé)任。但甲方必須立即以電報(bào)通知乙方。如乙方提出要求，甲方應(yīng)以掛號(hào)函向乙方提供由中國(guó)國(guó)際貿(mào)易委員會(huì)或有關(guān)機(jī)構(gòu)出具的事故證明文件。第十四條仲裁：凡因執(zhí)行本合同或與本合同有關(guān)事項(xiàng)所發(fā)生的一切爭(zhēng)執(zhí)，應(yīng)由雙方通過(guò)友好方式協(xié)商解決。如果不能取得協(xié)議時(shí)，則在被告國(guó)家根據(jù)被告國(guó)家仲裁機(jī)構(gòu)的仲裁程序規(guī)則進(jìn)行仲裁。仲裁決定是終局的，對(duì)雙方具有同等的約束力，仲裁費(fèi)用除非仲裁機(jī)構(gòu)另有約定外，均由敗訴一方負(fù)擔(dān)。

該信用證必須在_前開(kāi)出。信用證有效期為裝船后十五天在中國(guó)到期。
(10)單據(jù)：賣方應(yīng)向議付銀行提供已裝船清潔提單、發(fā)票、裝箱單/重量單：如果本合同按cif條件，應(yīng)再提供可轉(zhuǎn)讓的保險(xiǎn)單或保險(xiǎn)憑證。(11)裝運(yùn)條件：
1)載運(yùn)船只由賣方安排，允許分批裝運(yùn)并允許轉(zhuǎn)船。
2)賣方于貨物裝船后，應(yīng)將合同號(hào)碼、品名、數(shù)量、船名、裝船日期以電報(bào)通知買方。
(12)品質(zhì)和數(shù)量/重量的異議與索賠：貨到目的口岸后，買方如發(fā)現(xiàn)貨物品質(zhì)及/或數(shù)量/重量與合同規(guī)定不符，除屬于保險(xiǎn)公司及/或船公司的責(zé)任外，買方可以憑雙方同意的檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明向賣方提出異議。品質(zhì)異議須于貨到目的口岸之日起30內(nèi)提出，數(shù)量/重量異議須于貨到目的口岸之日起15天內(nèi)提出。賣方應(yīng)于收到異議后30天內(nèi)答復(fù)買方。
